Inspira Global completes acquisition of Burger King India operator Restaurant Brands Asia

The ₹2,235-crore deal gives Inspira Global a 41.78% stake in Restaurant Brands Asia, with plans to raise its holding to 48.04% through an additional ₹450-crore investment.

Inspira Global has completed its acquisition of a controlling stake in Restaurant Brands Asia (RBA), the master franchise operator of Burger King in India and Burger King and Popeyes in Indonesia. The transaction was executed through its food and beverage platform, Lenexis Foodworks.

The acquisition follows the successful completion of the mandatory open offer, regulatory approvals and other customary closing requirements.

Valued at ₹2,235 crore, the transaction ranks among the largest deals in India's quick-service restaurant (QSR) sector. Following the completion of the acquisition, Inspira Global now holds a 41.78% stake in Restaurant Brands Asia. The company said its shareholding will increase to 48.04% after the conversion of warrants, backed by an additional equity infusion of ₹450 crore.

As part of the leadership changes, Restaurant Brands Asia's board has appointed Madhusudan Agrawal as chairman and Aayush Agrawal as a non-executive director.

Restaurant Brands Asia will continue to operate the Burger King and Popeyes brands under its existing master franchise and development agreements with Restaurant Brands International, the parent company of both brands. The Burger King franchise agreements for India and Indonesia have recently been extended until 2050, providing long-term visibility for the business.

Commenting on the development, Madhusudan Agrawal, chairman, Restaurant Brands Asia, said the company intends to build on its existing strengths through long-term investments, disciplined governance and close collaboration with the current leadership team.

Aayush Agrawal, director, Restaurant Brands Asia, said the acquisition reflects Inspira Global's confidence in India's long-term consumption story and its focus on building a food service business driven by operational excellence and customer-centricity.

With fresh capital and a new leadership team in place, Restaurant Brands Asia said it will continue investing in restaurant expansion, technology, digital capabilities, customer experience and operational efficiency to drive long-term growth.
