ITC completes acquisition of remaining stake in Yoga Bar maker Sproutlife Foods for Rs 645 crore

The transaction takes ITC’s holding in Sproutlife from around 47.5% to 100%, making the healthy foods company a wholly owned subsidiary

ITC has completed the acquisition of the remaining stake in Sproutlife Foods, the company behind the Yoga Bar brand, for approximately Rs 645 crore.

The conglomerate acquired 13,445 equity shares of Sproutlife through a secondary purchase, taking its shareholding in the company from around 47.5% to 100%. The transaction was completed on September 28, 2026.

Following the acquisition, Sproutlife Foods has become a wholly owned subsidiary of ITC.

Sproutlife operates in the new and innovative foods segment and manufactures and sells products under the Yoga Bar trademark. The business follows a digital-first model, with a significant portion of its sales generated through its direct-to-consumer platform and e-commerce marketplaces.

ITC said the acquisition is part of its strategy to strengthen and expand its future-ready foods portfolio.

The transaction was completed entirely through cash consideration and did not require any governmental or regulatory approvals. ITC also said the transaction does not qualify as a related-party transaction.

ITC had initially acquired a stake in Sproutlife, and the latest deal gives the company complete ownership of the Yoga Bar maker.
